SYNVERTA operates as an independent B2B chemical trading facilitation platform, providing information display and business-matching services between suppliers and buyers.
SYNVERTA is not a party to any transaction, and does not participate in the actual sale, payment, logistics, warehousing, or delivery of goods.
SYNVERTA does not guarantee the quality, safety, legality, or performance of any products, nor the creditworthiness of users. All transactions are conducted at the sole discretion and risk of the parties involved.
Users are responsible for performing their own due diligence — including qualification verification, contract review, and third-party testing — prior to any business engagement.
SYNVERTA shall not be held liable for any direct, indirect, or consequential losses resulting from platform usage, information reliance, transaction activities, or force majeure events.
3. User Obligations and Compliance
Users must comply with all applicable laws and regulations in their respective jurisdictions and in the jurisdiction of platform operation, including but not limited to:
Chemical import/export, classification, and labeling (GHS/CLP) requirements;
Environmental, safety, and hazardous materials transport regulations;
Export control, sanctions, and anti-money laundering laws.
Users are prohibited from using this Platform to post, distribute, or trade any illegal, restricted, hazardous, or unlicensed chemical substances.
SYNVERTA reserves the right to suspend or terminate user accounts and report violations to relevant authorities in case of non-compliance.
4. Third-Party Links and Content
This Platform may contain links to third-party websites or services.
Such sites are operated independently, and SYNVERTA is not responsible for the accuracy, legality, or security of their content.
Users who visit third-party websites do so at their own risk.
5. Limitation of Liability
SYNVERTA shall not be liable for service interruptions, delays, or data loss caused by network failures, maintenance, cyberattacks, or other force majeure events.
Users are solely responsible for safeguarding their account credentials and for losses caused by misuse or disclosure.
To the fullest extent permitted by law, SYNVERTA’s total aggregate liability for any claims arising out of or related to the use of this Platform shall not exceed the total amount of service fees paid (if any) by the user within the twelve (12) months preceding the event giving rise to the claim.
6. Governing Law and Dispute Resolution
This Disclaimer shall be governed by and construed in accordance with the laws of the jurisdiction where SYNVERTA is registered Hong Kong SAR.
Any disputes arising out of or relating to the use of this Platform shall first be resolved through friendly negotiation.
If negotiation fails, either party may submit the dispute to the competent court or arbitration institution in the place of registration of SYNVERTA.
7. Updates and Interpretation
SYNVERTA reserves the right to modify or update this Legal Disclaimer at any time based on legal or operational needs.
The revised version will take effect immediately upon publication.
SYNVERTA retains the final right of interpretation of this Disclaimer.
