Welcome to Synverta.co (hereinafter referred to as “the Platform,” “Synverta,” or “we”), an online B2B marketplace dedicated to the global trade of chemical products and related services.
By accessing or using this website, you (“User,” “Buyer,” “Seller,” or “Member”) agree to comply with and be bound by these Terms of Use. If you do not agree, please discontinue use immediately.


1. Acceptance of Terms

1.1 These Terms constitute a binding legal agreement between you and Synverta governing your access to and use of the Platform and its related services.
1.2 Synverta reserves the right to amend these Terms at any time. Updates will take effect immediately upon publication on the Platform. Your continued use constitutes acceptance of such amendments.
1.3 Additional rules, policies, or agreements (such as the Privacy PolicySupplier Agreement, or Transaction Rules) may apply to specific services. In the event of conflict, such specific terms shall prevail.


2. Platform Nature and Scope of Services

2.1 Synverta.co functions as an online B2B information and trade facilitation platform, enabling verified business users to:

  • Publish and promote chemical products and materials;

  • Submit inquiries, quotations, and trade requests;

  • Connect with potential buyers, suppliers, and logistics providers;

  • Access value-added services (advertising, verification, analytics, etc.).

2.2 Synverta is not a buyer, seller, manufacturer, or agent of any product listed. All transactions, communications, and contractual relationships occur directly between the Buyer and Seller. Synverta does not guarantee transaction success or product quality.


3. Membership, Registration, and Verification

3.1 To access certain features, you must register a business account and provide valid company information (including legal name, address, registration number, and contact details).
3.2 You warrant that all information provided is accurate, truthful, and up to date. Synverta reserves the right to suspend or terminate any account found to contain false or misleading information.
3.3 Verified members may be required to undergo additional documentation or third-party verification procedures.


4. User Responsibilities

You agree that while using the Platform you shall not:

  • Publish or promote any product that is illegal, hazardous, counterfeit, or restricted by applicable export control or chemical safety regulations (e.g., REACH, TSCA, CLP, DEA, etc.);

  • Misrepresent your identity or affiliation;

  • Infringe any third party’s intellectual property rights;

  • Upload or transmit viruses, malware, or harmful code;

  • Use the Platform to spam, defraud, or collect data without consent;

  • Interfere with the operation, security, or integrity of the Platform.


5. Product Listings and Content

5.1 Users are solely responsible for all product descriptions, images, specifications, and claims posted on the Platform.
5.2 Synverta does not independently verify the accuracy or legality of user-submitted information.
5.3 Synverta reserves the right to edit, hide, or remove listings that violate laws, these Terms, or public interest without prior notice.


6. Intellectual Property

6.1 All Platform content, including interface design, trademarks, databases, and system architecture, is owned or lawfully licensed by Synverta and protected by intellectual property laws.
6.2 Users retain ownership of content they upload but grant Synverta a worldwide, royalty-free, non-exclusive license to display, reproduce, and distribute such content for promotional and operational purposes.
6.3 Unauthorized reproduction or scraping of Platform data is strictly prohibited.


7. Transaction Disclaimer

7.1 Synverta does not participate in actual sales, purchases, payment collection, or logistics arrangements.
7.2 The Platform serves only as a matchmaking medium. All risks arising from transactions, such as product quality, delivery, payment, or compliance, are the sole responsibility of the contracting parties.
7.3 Users are encouraged to conduct due diligence and use secure trade mechanisms (e.g., L/C, escrow, inspection services) before finalizing transactions.


8. Limitation of Liability

8.1 Synverta makes no representation or warranty regarding:

  • The accuracy, completeness, or reliability of any content or listing;

  • The quality, safety, legality, or suitability of any product;

  • The ability of any buyer or seller to perform their obligations.

8.2 Synverta shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of your use of the Platform, even if advised of the possibility of such damages.
8.3 In all cases, Synverta’s total liability shall not exceed the service fees (if any) paid by the user during the 12 months preceding the event.


9. Termination and Suspension

Synverta reserves the right to suspend or terminate any user account or access at its discretion if:

  • The user breaches these Terms or applicable laws;

  • Fraudulent, misleading, or illegal activities are detected;

  • Platform security or reputation is at risk.

All user data and listings may be removed upon termination.


10. Third-Party Links and Services

Links to external sites or third-party tools are provided for convenience. Synverta is not responsible for their content, security, or availability. Your interactions with such third parties are solely between you and the respective provider.


11. Compliance and Export Control

Users must ensure full compliance with international chemical trade regulations, including but not limited to:

  • Hazardous substance classification and labeling (GHS/CLP);

  • Import/export permits and customs declarations;

  • Sanctioned-country trade restrictions and embargo laws.


12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Hongkong jurisdiction.
Any dispute arising from or related to this Platform shall be submitted to the competent court or arbitration institution located in the same jurisdiction as Synverta’s registered office.


13. Miscellaneous

13.1 These Terms constitute the entire agreement between the User and Synverta.
13.2 If any provision is deemed invalid, the remaining provisions shall remain effective.
13.3 Synverta’s failure to enforce any right shall not constitute a waiver thereof.
13.4 Users may not assign or transfer their rights under these Terms without prior written consent from Synverta.
